    Terms of Use Agreement

    Introduction

This Terms of Use Agreement ("Agreement") constitutes a legally binding agreement made between you, whether personally or on behalf of an entity ("user" or "you") and Kayod America, LLC and its affiliated companies (collectively, "Kayod" or "Company" or "we" or "us" or "our"), concerning your access to and use of the https://kayod.ph website as well as any other media form, media channel, mobile website, or mobile application related or connected thereto (collectively, the "Website"). Supplemental terms and conditions or documents that may be posted on the Website from time to time, are hereby expressly incorporated into this Agreement by reference.

Kayod makes no representation that the Website is appropriate or available in other locations other than where it is operated by us. The information provided on the Website is not intended for distribution to, or use, by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject Kayod to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Website from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) are not permitted to register for the Website or use the Company Services.

YOU ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT BY ACKNOWLEDGING SUCH ACCEPTANCE DURING THE REGISTRATION PROCESS AND ALSO BY CONTINUING TO USE THE WEBSITE. IF YOU DO NOT AGREE TO ABIDE BY THIS AGREEMENT, OR TO MODIFICATIONS THAT KAYOD MAY MAKE TO THIS AGREEMENT IN THE FUTURE, DO NOT USE OR ACCESS OR CONTINUE TO USE OR ACCESS THE COMPANY SERVICES OR THE WEBSITE.

    Purchases; Payment

Kayod bills you through an online billing account for purchases of products and/or services. You agree to pay Kayod all charges at the prices then in effect for the products you or other persons using your billing account may purchase, and you authorize Kayod to charge your chosen payment provider any such purchases. You agree to make payment using that selected payment method. If you have ordered a product or service that is subject to recurring charges then you consent to our charging your payment method on a recurring basis, without requiring your prior approval from you for each recurring charge until such time as you cancel the applicable product or service. Kayod reserves the right to correct any errors or mistakes in pricing that it makes even if it has already requested or received payment. Sales tax will be added to the sales price of purchases as deemed required by Kayod. Kayod may change prices at any time.

    Kayod America ("Company")

    Attn: Copyright Agent

We also will advise the alleged infringer of the DMCA statutory Counter Notification procedure described below by which the alleged infringer may respond to your claim and request that we restore this material.

    Counter Notification

If you believe your own copyrighted material has been removed from our Website and/or our service as a result of mistake or misidentification, you may submit a written counter notification ("Counter Notification") to our Designated Copyright Agent pursuant to DMCA 17 U.S.C. § 512(g)(2) and (3). You may submit your Counter Notification to our Designated Copyright Agent by mail or e-mail as set forth above.

If you send us a valid, written Counter Notification meeting the requirements described above, we will restore your removed or disabled material after ten (10) business days, but no later than fourteen (14) business days from the date we receive your Counter Notification, unless our Designated Copyright Agent first receives notice from the party filing the original Notification informing us that such a party has filed a court action to restrain you from engaging in infringing activity related to the material in question. Please note that if you materially misrepresent that the disabled or removed content was removed by mistake or misidentification, you may be liable for damages, including costs and attorney's fees. Filing a false Counter Notification constitutes perjury.

YOU UNDERSTAND THAT CERTAIN STATES ALLOW YOU TO CANCEL THIS AGREEMENT, WITHOUT ANY PENALTY OR OBLIGATION, AT ANY TIME PRIOR TO MIDNIGHT OF THE COMPANY'S THIRD BUSINESS DAY FOLLOWING THE DATE OF THIS AGREEMENT, EXCLUDING SUNDAYS AND HOLIDAYS. TO CANCEL, E-MAIL A COMPANY CUSTOMER CARE REPRESENTATIVE USING THE CONTACT INFORMATION LISTING BELOW IN THIS AGREEMENT. THIS SECTION APPLIES ONLY TO INDIVIDUALS RESIDING IN STATES WITH SUCH LAWS.

If Kayod terminates or suspends your account for any reason, or no reason at all, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, Kayod reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

    Modifications
    To Agreement

Kayod may modify this Agreement from time to time. Any and all changes to this Agreement will be posted on the Website and revisions will be indicated by date. You agree to be bound to any changes to this Agreement when you use the Company Services after any such modification becomes effective. Kayod may also, in its discretion, choose to alert all users with whom it maintains email information of such notifications by means of an email to their most recently provided email address. It is therefore important that you regularly review this Agreement and keep your contact information current in your account settings to ensure that you are informed of changes. You agree that you will periodically check the Website for updates to this Agreement and you will read the messages that we send you to inform you of any changes. Modifications to this Agreement shall be effective after posting.

    To Services

Kayod reserves the right at any time to modify or discontinue, temporarily or permanently, the Company Services (or any part thereof) with or without notice. You agree that Kayod shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Company Services.

    Disputes
    Between Users

If there is a dispute between users of the Website, or between users and any third party, you understand and agree that Kayod is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release Kayod, its officers, employees, agents, and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected or unsuspected, disclosed and undisclosed, arising out of or in any related to such disputes and/or the Company Services.

    Between Company
    A. Governing Law; Jurisdiction

This Agreement and all aspects of the Website and Company Services shall be governed by and construed in accordance with the internal laws of the State of Wyoming, without regard to conflict of law provisions. With respect to any disputes or claims not subject to informal dispute resolution or arbitration (as set forth below), you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts located in Laramie County, State of Wyoming, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods is excluded from this Agreement. Additionally, application of the Uniform Computer Information Transaction Act (UCITA) is excluded from this Agreement. In no event shall any claim action, or proceeding by you related in any way to the Website or Company Services be instituted more than two (2) years after cause of action arose.

    B. Informal Resolution

To expedite resolution and control the cost of any dispute, controvery, or claim related to this Agreement ("Dispute"), you and Kayod agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeeding. Such informal negotiations commence upon written notice from one person to the other.

    C. Binding Arbitration

If you and Kayod are unable to resolve a Dispute through informal negotiations, either you or Kayod may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes. ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. The determination of whether a Dispute is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, Kayod will pay all arbitration fees and expenses. The arbitration may be conducted in writing, but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise provided by the applicable AAA rules or acceptable law, the arbitration will take place in Laramie Country, State of Wyoming. Except as otherwise provided in this Agreement, you and Kayod may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgement on the award entered by the arbitrator.

    D. Restrictions

You and Kayod agree that any arbitration shall be limited to the Dispute between Kayod and you individually. To the full extent permitted by law, (1) no arbitration shall be joined with any other; (2) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (3) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

    E. Exceptions to Informal Negotiations and Arbitration

Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration; (1) any Disputes seeking to enforce or protect, concerning the validity of any of your or Kayod's intellectual property rights; (2) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (3) any claim for injunctive relief. If this Section is found to be illegal or unenforceable then neither you nor Kayod will elect to arbitrate any Dispute falling within that portion of this Section found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and you and Kayod agree to submit to the personal jurisdiction of that court.

If your use of the Website would be unlawful in your jurisdiction, please do not use the Website.

BY USING OR ACCESSING THE WEBSITE, YOU ARE ACCEPTING THE PRACTICES DESCRIBED IN THIS PRIVACY POLICY.

Gathering, Use and Disclosure of Non-Personally-Identifying Information

"Non-Personally-Identifying Information" is information that, without the aid of additional information, cannot be directly associated with a specific person. "Personally-Identifying Information," by contrast, is information such as a name or e-mail address that, without more, can be directly associated with a specific person. Like most website operators, Kayod gathers from users of the Website Non-Personally-Identifying Information of the sort that Web browsers, depending on their settings, may make available. That information includes the user's operating system, browser type, and the locations of the websites the user views right before arriving at, while navigating and immediately after leaving the Website. Although such information is not Personally-Identifying Information, it may be possible for Kayod to determine from this data the geographical location of the visitor's point of connectivity, as well as other statistical usage data. Kayod analyzes Non-Personally-Identifying Information gathered from users of the Website to help Kayod understand how the Website is being used. By identifying patterns and trends in usage, Kayod is better able to design the Website to improve users' experiences, both in terms of content and ease of use. From time to time, Kayod may also release the Non-Personally-Identifying Information gathered from Website users in the aggregate, such as by publishing a report on trends in the usage of the Website.

    Web Cookies

A "Web Cookie" is a string of information which is stored on a user's computer, and the user's browser provides to the website each time the user submits a request to visit the Website. We use cookies on the Website to keep track of internal pages visited to improve users' experiences (for example, redirecting you to the page you may have last visited on the Website after logging in), and to record an authentication token unique to your session, that is used to identify your account after you login. This token is used to keep you logged into the Website and to facilitate purchase procedures. The token is a cryptographic hash that, by itself, does not contain any Personally-Identifying Information.

KAYOD USERS WHO DO NOT WISH TO HAVE WEB COOKIES PLACED ON THEIR COMPUTERS SHOULD SET THEIR BROWSERS TO REFUSE WEB COOKIES BEFORE ACCESSING THE WEBSITE, WITH THE UNDERSTANDING THAT CERTAIN FEATURES OF THE WEBSITE MAY NOT FUNCTION PROPERLY WITHOUT THE AID OF WEB COOKIES. WEBSITE USERS WHO REFUSE WEB COOKIES ASSUME ALL RESPONSIBILITY FOR ANY RESULTING LOSS OF FUNCTIONALITY.

We may elect to use third-party advertising companies to serve ads when you visit the Website. If we choose to make this election, these companies may use information (not including any Personally-Identifying Information) about your visits to the Website and other websites that are contained in Web Cookies in order to provide advertisements about goods and services of interest to you. Using a tool created by the Network Advertising Initiative, you can opt-out of several third-party ad servers' and networks' Web Cookies simultaneously. If you would like more information about this practice and to know your choices about not having this information used by these companies, please follow the following links: http://networkadvertising.org/managing/opt_out.asp, http://preferences-mgr.truste.com, or http://aboutads.info/choices. Please contact us if you would like to know if we are using third-party advertisers to serve ads, and if we are, the identity of the third-party advertising companies that we are using to serve ads.

    Web Beacons

A "Web Beacon" is an object that is embedded in a web page or email that is usually invisible to the user, and allows website operators to check whether a user has viewed a particular web page or e-mail.

Kayod may use Web Beacons in e-mails to count users who have viewed particular e-mails, and to deliver co-branded services. Web Beacons are not used to access users' Personally-Identifying Information. They are a technique Kayod may use to compile aggregated statistics about E-mail usage. Web Beacons collect only a limited set of information, including the e-mail the user may have opened and read.

KAYOD USERS WHO DO NOT WANT E-MAIL WEB BEACONS TO NOTIFY KAYOD OF USAGE ACTIVITY SHOULD CONFIGURE THEIR E-MAIL CLIENTS TO REFUSE WEB BEACONS OR OUTBOUND COMMUNICATION FROM THEIR E-MAIL CLIENT AFTER OPENING E-MAILS. FURTHER INFORMATION ON HOW TO DO SO MAY EXIST IN YOUR E-MAIL CLIENT PRIVACY SETTINGS.

    Analytics

We may partner with selected third parties to allow tracking technology on the Website, which will enable them to collect data about how you interact with the Website and our services over time. This information may be used to, among other ways, to analyze and track data, determine the popularity of certain content, identify bugs or problems with the Website, and understand online activity.

Kayod currently partners with Sentry.io, an error reporting collection service, to help identify bugs and errors. Information sent to Sentry.io may include traceback data, or information that you or your browser may send to the Website. Kayod takes the necessary precautions to sanitize sensitive data before it is stored on Sentry.io's servers. However, in some cases, your name, e-mail address, and IP address may be received and/or logged on Sentry.io's servers to assist with identifying errors.

Kayod also utilizes Postmark, a SMTP service provider to help us manage our automated transactional and marketing outbound mail. Information, including your name and e-mail address, is provided to Postmark to conduct our business operations. We may also log activity on how our e-mails are utilized, including whether they are opened or links are clicked.

Kayod also maintains internal SMTP and IMAP services for non-automated, direct e-mail correspondence.

Kayod utilizes Stripe as our payment card processor. Your payment card information will be sent to Stripe in the event that a financial transaction is made using our service.

IF YOU DO NOT AGREE WITH OUR PARTNERSHIP WITH SENTRY.IO, POSTMARK, OR STRIPE, DO NOT USE THE WEBSITE. MORE INFORMATION ABOUT THE PRIVACY PRACTICES OF THESE ORGANIZATIONS CAN BE FOUND AT: https://sentry.io/, https://postmarkapp.com/, and https://stripe.com.

    Aggregated and Non-Personally-Identifying Information

We may share aggregated and Non-Personally Identifying Information that we collect under any of the above circumstances. We may also share aggregated information with third parties, including advisors, advertisers, and investors, for the purpose of conducting general business analysis. For example, we may share, in aggregate, the number of visitors to the Website and the most popular features or services accessed. This information does not contain any Personally-Identifying Information and may be used to develop website content and services that we hope you and other users will find of interest.

    Geo-Location Information

Unless we have received your prior consent, we do not access or track any location-based information from your mobile device at any time while downloading or using our services, except that it may be possible for Kayod to determine from an IP address the geographic location of your point of connectivity, in which case we may gather and use such general location data. If we receive your consent, such as you providing us with GPS data from your browser or mobile device, or you specifying your location in your user preferences, we may personalize the Website to display information more relevant to your geographical location.
